Before you read: Barley is a software tool that uses AI to analyze your medical bills and flag things worth investigating. We are not lawyers, doctors, or billing professionals. These Terms explain what we do, what we don't do, and how we handle your information. The all-caps sections are legally required to be emphasized.
PLEASE READ BEFORE USING BARLEY
By creating an account, clicking "I Agree," or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
If you are using Barley on behalf of a business, you represent that you have authority to bind that entity, and "you" refers to that entity.
1. DEFINITIONS
"Account" — a registered user account on the Service.
"Advocate User" — a person using the Service professionally to assist patients or clients with medical billing review, acting on behalf of those individuals directly.
"Analysis Output" — any analysis, report, flag, recommendation, or other content the Service generates from a Document you submit.
"Consumer User" — an individual using the Service for personal, non-commercial purposes, such as reviewing their own medical bills.
"Document" — any bill, Explanation of Benefits, Medicare Summary Notice, insurance correspondence, or similar record you upload to the Service.
"Health Data" — health or medical information contained in Documents you submit, including procedure codes, diagnosis codes, provider information, and insurance details. Barley is a consumer software tool governed by the FTC framework, not a healthcare entity governed by HIPAA. We use the term "Health Data" rather than "Protected Health Information" to reflect this accurately. We protect it with the same rigor regardless of the legal label.
"Service" — the Barley platform, website, mobile applications, and all related features and tools.
"Subscription" — a paid plan granting access to the Service for a specified period.
"Barley," "we," "us," or "our" — Gildage Inc., a Delaware corporation doing business as Barley.
"You" — the individual or entity using the Service.
2. ELIGIBILITY AND ACCOUNT REGISTRATION
2.1 Age. You must be at least 18 years old to use the Service. The Service is not for children under 13; we do not knowingly collect information from anyone under 13. If you believe a child under 13 has provided information to us, contact us at legal@barleymedical.com and we will delete it promptly.
2.2 Accurate Information. You agree to provide accurate, current, and complete information when creating your Account and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account.
2.3 Advocate Users. If you use the Service as an Advocate User, you represent that you are using it in a lawful professional capacity, that you have obtained all required authorizations from the individuals whose Documents you upload, and that you will comply with all applicable professional and legal obligations governing your practice.
3. WHAT BARLEY DOES — AND WHAT IT DOES NOT DO
3.1 What Barley Does
Barley is an AI-powered tool that analyzes medical bills, EOBs, and related documents to identify potential discrepancies and generate informational action plans and talking points you can use when contacting your insurer, provider, or billing department. It is designed to help you understand your bills and give you a starting point for asking questions.
3.2 What Barley Is Not
Plain-language summary: Barley is a software tool, not a professional advisor. We can help you spot things worth investigating, but we cannot tell you what to do and cannot guarantee any result.
BARLEY IS NOT A LICENSED MEDICAL BILLING PROFESSIONAL, ATTORNEY, FINANCIAL ADVISOR, INSURANCE ADVISOR, OR HEALTHCARE PROVIDER. THE SERVICE DOES NOT PROVIDE PROFESSIONAL ADVICE OF ANY KIND. ALL ANALYSIS OUTPUT IS INFORMATIONAL ONLY AND DOES NOT CONSTITUTE PROFESSIONAL MEDICAL, LEGAL, FINANCIAL, OR INSURANCE ADVICE.
Specifically:
- Analysis Output is only as reliable as the Documents you submit. Barley does not verify the accuracy of your Documents.
- AI analysis may produce errors, omissions, false positives, or false negatives. Your own review and judgment are always required.
- Barley does not negotiate on your behalf, communicate with providers or insurers on your behalf, or file appeals on your behalf.
- Barley does not guarantee any outcome, savings, recovery, or result.
- Nothing in the Analysis Output creates an attorney-client, patient-provider, fiduciary, or other professional relationship between you and Barley.
3.3 AI-Generated Content
Analysis Outputs are generated in whole or in part by artificial intelligence. AI-generated content may be inaccurate, incomplete, or not suited to your specific situation. Do not rely on Analysis Output as your sole basis for any financial, legal, or healthcare decision. Always independently verify important findings before acting on them.
3.4 No Medical Advice
Barley is not a healthcare provider and does not constitute the practice of medicine. References to medical codes or procedure descriptions in Analysis Output are solely in the context of billing review, not medical advice.
3.5 Get Help When You Need It
If you are a Consumer User, we encourage you to consult a qualified professional — such as a licensed patient advocate, your state insurance commissioner's office, or an attorney — before disputing a bill or taking other consequential action.
If you are an Advocate User, apply your own professional judgment to all Analysis Output before relying on it or sharing it with clients.
4. YOUR DATA, PRIVACY, AND HEALTH INFORMATION
4.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy at barleymedical.com/privacy, incorporated into these Terms by reference. Please read it. By using the Service, you agree to our data practices as described there.
4.2 Your Documents Are Yours
You retain full ownership of the Documents you submit. By submitting them, you grant Barley a limited, non-exclusive license to process that content solely to provide the Service to you — generating Analysis Output and maintaining your Account. We do not use your Documents for any other purpose without your separate consent.
4.3 We Do Not Use Your Health Data to Train AI
BARLEY WILL NOT USE HEALTH DATA OR DOCUMENTS YOU SUBMIT TO TRAIN OR IMPROVE AI MODELS WITHOUT YOUR SEPARATE, EXPLICIT, WRITTEN CONSENT. YOUR DATA IS USED SOLELY TO GENERATE ANALYSIS OUTPUT FOR YOUR ACCOUNT.
This commitment extends to our AI service providers. We contractually require them not to use your data for model training.
4.4 How We Handle Health Data
The documents you upload to Barley are sensitive. They may contain information about your medical care, providers, diagnoses, and insurance. Here is how we treat them:
- We apply our strongest data protections to all Health Data regardless of any specific legal classification.
- We do not share your Health Data with advertisers, data brokers, or any third party for their own commercial purposes.
- We use Health Data only to provide the Service to you — generating your Analysis Output, maintaining your Account, and improving the Service using only de-identified, aggregate information that cannot be traced back to you.
- The primary laws governing how Barley handles your health data are the FTC Act and the FTC Health Breach Notification Rule. See our Privacy Policy for full details.
For Advocate Users: When you upload documents on behalf of a client, you represent that the client has authorized you to do so. You bear responsibility for obtaining that authorization and for fulfilling your own professional obligations to your clients. The duty of care to your client runs from you — Barley is a software tool, not a co-professional.
4.5 Security and Breach Notification
We implement reasonable administrative, technical, and physical safeguards to protect your data, including encryption in transit and at rest. No system is completely secure. If we experience a breach of your health or personal data, we will notify you as required by the FTC Health Breach Notification Rule and applicable state law. Contact security@barleymedical.com immediately if you believe your Account has been compromised.
4.6 Data Retention and Deletion
You may request deletion of your Account and data at any time through your Account settings or by emailing legal@barleymedical.com. Upon a verified request, we will delete your account and Health Data from our active systems within 30 days, subject to legal hold obligations. Encrypted backups may persist for up to 90 days after active deletion. See our Privacy Policy for full retention details.
5. SUBSCRIPTIONS, FEES, AND PAYMENT
5.1 Plans
Barley may offer free and paid Subscription plans. Features and pricing are described at barleymedical.com/pricing and may be updated with reasonable notice.
5.2 Payment
By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current rate. Fees are in U.S. dollars and due in advance. If payment fails, we may suspend access after notifying you and giving you an opportunity to update your payment information.
5.3 Automatic Renewal
Paid Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will send a reminder at least 7 days before any annual renewal. Cancel anytime through your Account settings or by emailing support@barleymedical.com.
5.4 Price Changes
We will give you at least 30 days' written notice before changing your Subscription price. If you disagree, cancel before the new rate takes effect. Continued use constitutes acceptance.
5.5 Cancellation and Refunds
Cancel anytime through your Account settings. Cancellation takes effect at the end of your current billing period. We do not provide prorated refunds for unused time, except as required by applicable law. If you cancel within 7 days of your first purchase and have not made significant use of the Service, contact us and we will consider a refund.
5.6 Beta Access
We may invite users to a beta program at no charge. Beta access may be revoked at any time. Beta features may be incomplete or change significantly. All other Terms apply to beta use.
6. ACCEPTABLE USE
You may use the Service only for lawful purposes. You agree not to:
- Upload Documents belonging to others without their authorization
- Use the Service for any unlawful purpose, including fraud or identity theft
- Represent to anyone that Analysis Output is the advice of a licensed professional
- Reverse engineer, decompile, or attempt to access the source code or AI models underlying the Service
- Use the Service to develop a competing product or train any AI model without our written consent
- Use automated scripts, bots, or scrapers that disrupt the Service
- Upload files containing malware or harmful code
7. INTELLECTUAL PROPERTY
7.1 Barley's IP. The Service — including its design, software, AI models, algorithms, and content (excluding your Documents) — is owned by Barley or its licensors and protected by applicable law. These Terms do not grant you any ownership in Barley's intellectual property beyond the limited right to use the Service.
7.2 Your Content. You retain ownership of your Documents. Analysis Output from your Documents is licensed to you for personal or professional use. Barley retains all rights in the models and systems that generate it.
7.3 Feedback. If you submit feedback or suggestions, you grant us a royalty-free license to use that feedback to improve the Service. We have no obligation to act on feedback or compensate you for it.
8. DISCLAIMERS OF WARRANTIES
Plain-language summary: We have worked hard to make Barley useful, but AI tools are not perfect and we cannot guarantee specific results. The Service is provided as-is.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BARLEY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Barley makes no warranty that:
- The Service will be uninterrupted, error-free, or free of security vulnerabilities
- Analysis Output will be accurate, complete, or suitable for your situation
- The Service will identify all billing errors, or that identified items are actual errors
- Use of the Service will result in any savings, outcome, or successful dispute
9. LIMITATION OF LIABILITY
Plain-language summary: If something goes wrong, Barley's financial responsibility to you is limited. This is standard for software services. State law may give you additional rights.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BARLEY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF SAVINGS YOU HOPED TO ACHIEVE, FINANCIAL HARM FROM RELIANCE ON ANALYSIS OUTPUT, FAILURE TO IDENTIFY A BILLING ERROR, OR LOSS OF DATA.
BARLEY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF: (A) THE FEES YOU PAID TO BARLEY IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.
Some states do not allow exclusion of certain damages for consumers. If you live in such a state, the above limitations may not fully apply, and you may have additional rights under state law. Nothing in these Terms limits Barley's liability for gross negligence, willful misconduct, or fraud.
10. INDEMNIFICATION
Consumer Users: You agree to indemnify and hold harmless Barley from claims arising from your violation of these Terms, misuse of the Service, or submission of Documents you did not have authority to upload.
Advocate Users: In addition to the above, you agree to indemnify and hold harmless Barley from claims arising from: (a) your professional services to any patient or client; (b) any client claim arising from your reliance on Analysis Output; or (c) your failure to obtain proper authorization before uploading a client's documents.
11. TERM AND TERMINATION
11.1 These Terms are effective when you accept them and continue until your Account is terminated.
11.2 Termination by You. Close your Account anytime through Account settings or by emailing support@barleymedical.com. This cancels any paid Subscription at the end of the current billing period.
11.3 Termination by Barley. We may suspend or terminate your Account if you materially breach these Terms and do not cure within 14 days of written notice — or immediately for fraud, security threats, or illegal activity. If we discontinue the Service entirely, we will provide 30 days' notice and a prorated refund of any prepaid fees.
11.4 Effect. On termination, your access ends. Your data is handled per Section 4.6 and our Privacy Policy. Sections 3, 7, 8, 9, 10, 13, and 14 survive termination.
12. CHANGES TO THESE TERMS
We may update these Terms. For material changes — those affecting your rights, our data practices, or pricing — we will give you at least 14 days' advance written notice by email and by notice within the Service. Non-material changes (clarifications, formatting) take effect when posted. Continued use after the effective date constitutes acceptance. Prior versions are available on request.
13. GOVERNING LAW AND DISPUTES
13.1 Governing Law
These Terms are governed by Delaware law, without regard to conflict-of-law principles. If you are a California resident, nothing here limits your rights under California law, including CCPA and California's consumer protection statutes. Similar state-law protections may apply to residents of other states.
13.2 Informal Resolution
Before filing any formal claim, contact us at legal@barleymedical.com and give us 30 days to resolve the matter informally. This does not limit your right to seek emergency relief or file a complaint with a government agency.
13.3 Disputes
If informal resolution fails, disputes may be brought in:
- Small claims court in your county, for claims within that court's jurisdictional limits, or
- State or federal courts located in Delaware, for all other claims
Both parties consent to personal jurisdiction in Delaware for disputes that proceed in court. Either party may seek emergency injunctive relief in any court of competent jurisdiction.
14. GENERAL PROVISIONS
14.1 Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Barley regarding the Service.
14.2 Severability. If any provision is found invalid or unenforceable, the remaining provisions remain in force. The invalid provision will be modified to the minimum extent necessary to make it enforceable.
14.3 No Waiver. Our failure to enforce any provision does not waive our right to do so in the future.
14.4 Assignment. You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or asset sale, with notice to you.
14.5 Relationship. Nothing in these Terms creates a partnership, employment, or agency relationship between you and Barley.
14.6 Notices. Legal notices to Barley must be sent to legal@barleymedical.com or Gildage Inc., 5101 Santa Monica Blvd Ste 8 Pmb 1491, Los Angeles, CA 90029-2480, USA. We will send notices to your registered email address or by posting within the Service.
14.7 Accessibility. If you encounter accessibility barriers using the Service, contact support@barleymedical.com and we will work with you to address them.
14.8 Headings. Section headings are for convenience only and do not affect interpretation.
